1. Description of Services

XPNest provides users with access to secure technology services including, but not limited to, digital case management solutions, cybersecurity tools, and data handling platforms. Collectively, all of these services are referred to in these TOS as the "Service" or "Services".

2. Use of the Service

XPNest grants you a limited license to access and make personal or organizational use of the Service. You may not use the Service for any unlawful purpose or for activities that infringe on the rights of XPNest or others. Unauthorized use terminates the license granted by XPNest.

3. Membership Eligibility

Users must be 18 years or older (or 13 years with parental consent) to register. By using the Service, you represent that you meet these requirements and have not been previously barred from the Service.

4. User Content

You are solely responsible for all content you post or transmit through the Service. By submitting content, you grant XPNest a non-exclusive, worldwide license to use, reproduce, and distribute such content in connection with providing the Service.

5. Data & Compliance

You agree to comply with all applicable laws, regulations, and industry standards, including but not limited to data protection, cybersecurity, and export control requirements. XPNest makes no guarantees that use of the Service ensures compliance with any laws or regulations applicable to you.

All content, software, and materials provided by XPNest are the property of XPNest or its licensors and are protected by intellectual property laws. You may not copy, distribute, or create derivative works without prior written consent.

7. Disclaimers and Limitation of Liability

The Service is provided "as is" and "as available." XPNest disclaims all warranties, express or implied, including merchantability and fitness for a particular purpose. XPNest shall not be liable for any indirect, incidental, special, consequential, or exemplary damages arising from use of the Service. Liability shall not exceed the greater of $25 or the amount you paid for the Service in the prior 12 months.

8. Termination

XPNest may suspend or terminate your access to the Service at its sole discretion. Upon termination, all rights and licenses granted to you will cease immediately.

9. Arbitration; Governing Law

Any disputes will be resolved by binding arbitration under the rules of the American Arbitration Association. These Terms shall be governed by the laws of the jurisdiction where XPNest operates, without regard to conflict of law principles. You waive any right to a jury trial or class action.
